These General Terms and Conditions (“GTC”) apply to all contracts between sedisto GmbH (“sedisto” or “provider”) and its customers regarding the provision of digital access control solutions, the supply of related hardware, and associated consulting and service activities.
These GTC apply exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. Deviating or supplementary terms of the customer shall not become part of the contract unless sedisto expressly agrees to them in writing.
Conclusion of contract
Offers by sedisto are non-binding unless expressly designated as binding. A contract is formed by mutually signed agreement, by sedisto’s order confirmation, or by sedisto rendering performance without reservation following an order.
There are no oral side agreements. Amendments and additions to the contract require text form; this also applies to the waiver of this text-form requirement.
Services
sedisto provides a Software-as-a-Service platform for digital access control in self-storage facilities, together with related hardware components (e.g. door controllers, readers, gateways). The exact scope of services is defined in the individual contract and its accompanying service description.
sedisto is entitled to evolve the platform on an ongoing basis. Material changes affecting the agreed scope will be announced to the customer with reasonable notice.
Fees
Fees are determined by the price list applicable at contract conclusion or by the individual contract. All prices are exclusive of statutory value-added tax.
Invoices are due for payment net within 14 days of the invoice date. In the event of late payment, sedisto is entitled to charge default interest at the statutory rate.
Customer obligations
The customer shall provide the cooperation necessary for the rendering of services — in particular, the provision of network and power supply at the installation site and the timely delivery of required information and credentials.
The customer is obliged to treat any credentials provided as confidential and to protect them against unauthorised access by third parties.
Availability
sedisto targets a platform availability of 99.9 % on an annual average, measured at the hosting data centre. Scheduled maintenance windows and outages due to force majeure are excluded from this measurement.
If the internet connection at the customer site fails, limited access functionality is provided via the local Bluetooth fallback.
Liability
sedisto is liable without limitation for damages arising from injury to life, body, or health caused by negligent or wilful breach of duty, and for other damages caused by wilful or grossly negligent breach of duty.
In cases of simple negligence, sedisto is liable only for breach of essential contractual duties (cardinal obligations). In such cases, liability is limited in amount to the typical, foreseeable damage at contract conclusion.
Data protection
Personal data is processed in accordance with the General Data Protection Regulation (GDPR) and applicable national data protection laws. Details are governed by the privacy policy and a separately concluded data processing agreement (DPA).
Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of performance and exclusive place of jurisdiction for all disputes arising out of or in connection with the contract is — to the extent legally permissible — the registered seat of sedisto.
Should individual provisions of these GTC be or become ineffective, the validity of the remaining provisions shall not be affected.
